U.S. AUTHORIZED SELLER PROGRAM (CRESCENT® AND GEARWRENCH® BRANDS)
Effective: November 1, 2024
ATG’s U.S. Authorized Seller Program conveys channel and quality control measures to ensure end users receive the high-quality products and customer service associated with the Crescent (including H. K. Porter®, JOBOX®, Lufkin®, Nicholson®, and Wiss®) (collectively “Crescent”) and GEARWRENCH brands. U.S. distributors, wholesalers, and resellers are subject to our U.S. Authorized Seller Program terms, set forth in the documents below.

Apex Tool Group, LLC Authorized Distributor Packet
The terms applicable to you are in this packet if:
- You source Crescent or GEARWRENCH products directly from ATG, and
- You sell products to end users.
Apex Tool Group, LLC Authorized Wholesaler Packet
The terms applicable to you are in this packet if:
- You source Crescent or GEARWRENCH products directly from ATG for purposes of resale to reseller customers who then resell the product to end users.
Apex Tool Group, LLC Authorized Reseller Packet
The terms applicable to you are in this packet if:
- You source Crescent or GEARWRENCH products from an Authorized ATG Wholesaler for purposes of resale to end users.
- Please note you are not permitted to sell online without ATG’s prior written consent. To obtain authorization to sell online, please submit the Apex Tool Group, LLC Authorized Online Seller Application. This application is not used to authorize sales on online marketplaces, including, but not limited to, Amazon, eBay, and Walmart Marketplace.
Apex Tool Group, LLC Authorized Co-op Wholesaler Packet
The terms applicable to you are in this packet if:
- You source Cresent or GEARWRENCH products from ATG for purposes of resale to your retail or hardware co-op members.
Apex Tool Group, LLC Authorized Co-op Reseller Packet
The terms applicable to you are in this packet if:
- You source Crescent or GEARWRENCH products from an Authorized ATG Wholesaler for purposes of resale to end users and are a member of a retail or hardware co-op.
- Please note you are not permitted to sell online outside of the co-op website structures without ATG’s prior written consent. To obtain authorization to sell online, please submit the Apex Tool Group, LLC Authorized Online Seller Application. This application is not used to authorize sales on online marketplaces, including, but not limited to, Amazon, eBay, and Walmart Marketplace.
MINIMUM ADVERTISED PRICE POLICY FOR THE UNITED STATES AND CANADA (CLECO®, GEARWRENCH, JOBOX, AND WELLER® BRANDS)
Effective: January 1, 2019
ATG has established a Minimum Advertised Price (“MAP”) Policy for select Cleco, GEARWRENCH, JOBOX, and Weller products (“Covered Products”). The MAP Policy applies to all sellers advertising Covered Products to end users in the United States and Canada. Please note the MAP Policy applies only to advertised prices; sellers retain the right to set resale prices.
Internet Distribution Policy and Brand Integrity Policy (Apex®, Campbell®, Cleco, Jacobs Chuck®, and Weller Brands)
Effective: October 1, 2018
ATG has established an Internet Distribution Policy and Brand Integrity Policy for its Apex, Campbell, Cleco, Jacobs Chuck, and Weller brands. Please note all references to the Crescent and GEARWRENCH brands in the Internet Distribution Policy and Brand Integrity Policy are superseded by the U.S. Authorized Seller Program outlined above.
ATG considers any and all corporate branding associated with the name, logos, colors, trademarks, domain names, and other intellectual property (collectively “IP”) to be valuable corporate assets. IP may be used online only by Authorized Distributors in the advertisement of authentic branded products in the United States and Canada in accordance with the most current ATG brand style guidelines.
ATG has adopted this Internet Brand Integrity Policy to preserve ATG’s IP, promote the quality of ATG branded products, and maintain a fair business environment for all of our Authorized Distributors.
